Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and The Devious LLC ("Company," "we," "us," or "our") governing your access to and use of Ferry and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Ferry is an AI-powered data migration service that helps businesses import data from various sources and export data in multiple formats. The Service includes:

  • File upload and parsing capabilities
  • AI-powered data field mapping
  • Chat-based data refinement
  • Webhook-based data delivery
  • API access for programmatic integration
  • Dashboard for monitoring and management

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Account Requirements

You must be at least 18 years old and have the legal capacity to enter into contracts. If you are using the Service on behalf of an organization, you must have authority to bind that organization.

4. Acceptable Use

4.1 Permitted Use

You may use the Service to:

  • Import and export data you own or have authorization to process
  • Integrate with your own systems via our API
  • Manage data migrations for your business operations

4.2 Prohibited Use

You agree NOT to:

  • Upload data you don't have rights to process
  • Process personal data without proper legal basis
  • Attempt to access other users' data or accounts
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service for illegal purposes
  • Transmit malware, viruses, or malicious code
  • Circumvent security measures or access controls
  • Use the Service to compete with Ferry
  • Resell or sublicense access without authorization
  • Exceed rate limits or abuse the API
  • Upload content that is defamatory, obscene, or harmful

5. Your Data

5.1 Ownership

You retain all rights to your data. We do not claim ownership of any data you upload to the Service. You grant us a limited license to process your data solely to provide the Service.

5.2 Your Responsibilities

You are responsible for:

  • Ensuring you have the right to upload and process the data
  • Obtaining necessary consents for personal data processing
  • Complying with all applicable data protection laws
  • Maintaining backups of your data
  • Accuracy and quality of your data

5.3 Data Processing

When you upload data, we process it solely to provide the Service. See our Privacy Policy for details on how we handle your data.

5.4 Data Retention

Uploaded files are automatically deleted within 24 hours of successful import. You may request immediate deletion at any time. We do not retain copies of your migrated data after deletion.

6. Fees and Payment

6.1 Pricing

Current pricing is available at ferry.dev/pricing. Prices may change with 30 days' notice. Changes apply to the next billing cycle.

6.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • Usage-based charges are billed in arrears
  • All fees are non-refundable unless stated otherwise
  • You are responsible for applicable taxes

6.3 Payment

Payment is processed by Stripe. By providing payment information, you authorize us to charge your payment method for all fees due. If payment fails, we may suspend your access until payment is received.

6.4 Free Tier

The free tier includes limited functionality and usage. We may modify or discontinue the free tier at any time.

7. Intellectual Property

7.1 Our Rights

Ferry, including its code, design, logos, and documentation, is owned by The Devious LLC and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service as permitted by these Terms.

7.2 Feedback

If you provide feedback, suggestions, or improvements, you grant us a perpetual, irrevocable, worldwide license to use that feedback without compensation.

8. Third-Party Services

The Service integrates with third-party services (Supabase, Anthropic, Stripe, etc.). Your use of these services is subject to their respective terms and policies. We are not responsible for third-party services.

9. Service Level Agreement

9.1 Availability

We target 99.9% uptime for the Service, excluding scheduled maintenance and circumstances beyond our control. Current status is available at status.ferry.dev.

9.2 Support

  • Free tier: Community support only
  • Pro tier: Email support, 48-hour response
  • Enterprise tier: Priority support, 4-hour response, dedicated contact

9.3 Maintenance

We may perform scheduled maintenance with reasonable advance notice. Emergency maintenance may occur without notice when necessary for security or stability.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We disclaim all warranties including, but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of data processing
  • Uninterrupted or error-free operation

We do not warrant that the Service will meet your requirements or that any errors will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total liability for all claims arising from these Terms or the Service will not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
  • These limitations apply regardless of the form of action, whether in contract, tort, or otherwise, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow limitation of liability for certain damages. If these laws apply to you, some or all of the above limitations may not apply.

12. Indemnification

You agree to indemnify, defend, and hold harmless The Devious LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Data you upload to the Service

13. Termination

13.1 Termination by You

You may cancel your account at any time through the dashboard or by contacting us. Cancellation takes effect at the end of your current billing period.

13.2 Termination by Us

We may suspend or terminate your access immediately if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Pose a security risk to the Service or other users

13.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • Your data will be deleted within 30 days
  • You may request data export before termination
  • Accrued fees remain due and payable
  • Sections 5, 7, 10-12, and 14-16 survive termination

14. Dispute Resolution

14.1 Informal Resolution

Before filing a legal claim, you agree to try to resolve the dispute informally by contacting legal@ferry.dev. We'll try to resolve the dispute within 60 days.

14.2 Arbitration

If informal resolution fails, any dispute will be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted in English in Delaware, USA, or remotely.

14.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.

14.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or security violations.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

15.2 Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements, constitute the entire agreement between you and us regarding the Service.

15.3 Modifications

We may modify these Terms at any time. Material changes will be notified via email or prominent notice. Continued use after changes constitutes acceptance.

15.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.

15.5 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

15.6 Waiver

Failure to enforce any right is not a waiver of that right.

15.7 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
